Terms and Conditions of AI Impact Scaling Program

  1. GENERAL PROVISIONS

  1. These Terms and Conditions (“Terms”) define the terms and conditions of a program that aims to support non-profit organizations in the field of effective implementation of AI solutions for using artificial intelligence for social good, organized under the name AI Impact Scaling Program.
  2. The Organiser of the AI Impact Scaling Program is Tech To The Rescue Foundation, with its registered office at Hoża 86/410, 00-682 Warsaw, Poland, entered into the Register of Associations, Other Social and Professional Organizations, Foundations, and Independent Public Health Care Facilities kept by the District Court for the Capital City of Warsaw, XIII Commercial Department of the National Court Register under KRS number 0000937683, NIP (Tax Identification Number) 5272981322 („Organiser” or “TTTR”).
  3. Contact with the Organizer is possible at the dedicated address: ai@techtotherescue.org.

  1. DEFINITIONS

For these Terms, the following terms shall have meanings ascribed to them below:

  1. SIO -  a non-governmental organization, including non-profit and for-profit entities  organized and operated for a collective, public or social benefit, who was qualified to the Program,
  2. Privacy Policy - a privacy policy currently available at www.techtotherescue.org;
  3. Website – the website available at: www.techtotherescue.org containing information on the Program and enabling registration for participation in the Program for the Participants,
  4. Program - AI Impact Scaling Program organized by Organiser,
  5. Terms and Conditions -  these terms and conditions.
  6. Account - account registered by the SIO in accordance with Terms of Services available at: www.techtotherescue.org/terms-of-service
  7. Tech Companies -  a tech company willing to help SIO offering its services pro publico bono during the Program.

  1. THE PROGRAM 
  1. The Program is aimed for SIOs. Due to the nature of the Program, it is not addressed to consumers (a consumer is a natural person making a legal transaction with the entrepreneur not directly related to his/her business or professional activity). Therefore, these Terms in this scope shall not apply to the conclusion of contracts with consumers.
  2. The Program is run periodically at the Organizer's discretion. Information about the qualification process will be published on the Website. 
  3. The Program lasts 12 months. Once qualified, SIO are required to actively participate throughout the Program in order to achieve its purposes.
  4. The Organizer reserves the right to shorten or extend the duration of the Program, change the dates or order of application periods or cancel a given cohort at any time.
  5. Participation in the Program is free of charge SIO. 
  6. The SIO may come from different countries excluding countries that are embargoed by the US or the EU. The Program will be conducted in English.
  7. The Program is not a development agency. During the Program th Organizer ensure the framework and mentorship. But SIO is obliged to build the prototype. The Program also is not a grant program. The Organizer prepares the SIO for the possibility of funding but the Organizer does not provide it.
  8. After 12-months and completed the Program, the SIO became “Alumni”.  The Alumni  will be invited by the Organizer to alumni-specific events. Participation in alumni events is not mandatory, but it is an additional development opportunity for SIO.

  1. PARTICIPATION RULES
  1. The Organizer may set a limit on the number of Participants in each edition of the Program. These limits may change depending on the Organizer's decision.
  2. The SIO qualified for the Program – in accordance with section V below - are required to fulfill the general obligations:
  1. designate people who will represent the SIO during the Program - a minimum of two decision-makers and one person with technical aptitude, (required commitment: 8-10 hours of work per week and fluent English proficiency). 
  2. inform about each change of people indicated in letter a above;
  3. provide the Organizer (with the right of forwarding to the Tech Companies) with data sets, resources, and/ or materials if needed for effective participation in the Program;
  4. declare availability for the media in case of possible requests for interviews and quotes related to the Program;
  5. operate on a not-for-profit basis and/or have a mission to benefit the broader community;
  1. Participation in the Program is equivalent to the SIO granting a non-exclusive, perpetual and territorially unlimited license to use its name and logo, which the SIO must provide to the Organizer upon request. The name and logo will be featured in case studies (articles, photos and videos) on social media and blog portals owned by the Organizer, as well as in publicly available media portals and press regarding participation in the Program. The license and further sub-licenses are granted free of charge. The SIO has been informed that failure to provide such consent will prevent participation in the Programs.
  2. The Organizer may not allow for participation in the Program or remove SIO  from the Program, without first calling for an omission of the violation, if:
  1. the application subject is not related to the Program,
  2. there is a reasonable suspicion that the SIO applied for a purpose contrary to the purpose of the Program (in particular, to recruit employees),
  3. SIO do not comply with these Terms and Conditions,
  4. SIO fails to fulfill the obligations specified in these Terms and Conditions – after prior notification and request to remedy the violations,
  5. SIO do not respond and provide Impact data in the Impact Measurement activities organised by the Organiser, for a period of 6 months or more,  upon informing the SIO.
  1. As the participants in the Program and taking full advantage of the opportunities the SIO are obliged to:
    1. report on the impact of the Program activities  and the tech solution developed within the Program, by responding to impact surveys and interviews provided by Us, throughout the duration of the Program and up to 24 months after the end of the Program,
    2. stay active during the participation in the Program, meaning being responsive to incoming communication from Us during the Program,
    3. participate in the creation of case studies  (a description of the project including the SIO’s problem indicated during the Program), preferably along with the impact of the solution.
  2. SIO can voluntarily fill out satisfaction surveys regarding participation in the Program delivered by Organizer.
  3. The SIO are obliged to apply the following rules:
    1. respect the rights and personal dignity of other people who are participating in the Initiative;
    2. apply the document explaining rules and guidelines on the cooperation.
  4. In a situation in which the SIO fails to fulfill the obligations specified in item 3 and 5 above, the Organizer is entitled to remove such SIO from the Program participants after prior notification and request to remedy the violations.

  1. QUALIFICATION PROCESS
  1. Registration of the SIO as a Program participant takes place as a result of a qualification process. To avoid any doubts the SIO confirms that it is aware that the participant's choice is the sole and free decision of the Organizer.
  2. To be eligible for applying to the Program, the SIO must first complete its Tech To The Rescue Profile in full. After that SIO must complete the dedicated application form, including:

- A description of the selected intervention and its current state (prototype, MVP, or live system)

- Evidence of measurable impact

- A clear articulation of scaling objectives

- Information on demand and distribution channels

- Details regarding organizational capacity, ownership, and sustainability

- Relevant technical and data environment information

- Supporting materials where applicable

Applications that do not include evidence of a functioning solution will not be considered.

  1. The condition for submitting to the Program the application is accepting these Terms by checking the dedicated checkbox (obligatory). These Terms will also be provided in electronic form on the Website.
  2. Submitting the application also means that the person who sends the submission on the SIO’s behalf has read the Privacy Policy and fully accepts these and that he/she is authorized to act on behalf of the SIO.
  3. Based on the application, the Organizer may shortlist SIO for a qualification interview. The purpose of the interview is to: i) clarify aspects of the intervention and scaling plan, ii) validate readiness for technology partnership, iii) confirm SIO’s commitment and capacity. Participation in the interview stage does not guarantee final selection.
  4. Sending the application implies the SIO’s consent to receive organizational information during the Program, if SIO will be qualified, via the address e-mail indicated in the form, which is necessary to ensure the conduct of the Program.
  5. The Organizer accepts only SIO who are able to confirm their legal status by providing registration documents confirming entity registration in their country of origin.
  6. The SIO that is interested in participating in the Program should, is obliged to provide the required information, within the time specified by the Organizer. The failure to provide the abovementioned information means resignation from the application process to the Program.
  7. Minimum Solution Readiness Requirement (Entry Conditions) - the SIO must demonstrate that the solution proposed for scaling is at least prototype-ready, and preferably MVP-ready. Solutions that are still at the problem-definition or exploratory stage are not eligible for the Program.
  8. Participation in the AI Impact Labs Program is not necessary to apply for participation in this Program. SIO that have not participated in the AI ​​Impact Labs Program may apply to participate in this Program.
  9. The Organizer informs the SIO of the results of the qualification process. The Organizer reserves the right to decline applications that do not meet requirements of the Program  or readiness standards. 
  10. Confirmation of the SIO's qualification for the Program means that the SIO becomes a Program participant and is obligated to fulfill the obligations specified in these Terms and Conditions.

  1.   THE GENERAL RULES OF THE PROGRAM

  1. The Organizer will each time inform SIO about the planned activities via email or/and through indicated channels, and will also specify the rules of application and participation in them. The Organizer may also introduce a schedule and agenda for such activities.
  2. Conducting the activities will depend on the current capabilities of the Organizer, in particular on obtaining appropriate technical, human and organizational resources.
  3. The dedicated team supports SIO during this step by maintaining the tools and addressing any technical issues.
  4. As part of the Program SIO can gain access to third-party copyrighted materials, including speakers, presentations and videos. The Organizer, by sharing the third party materials, grants to the SIO a non-exclusive, without territorial or time limitations, sublicense to playback the third party materials at the place and time of the SIO’s choosing, exclusively for personal use, for non-commercial purposes. The Organizer may terminate the sub-license at any time, if the Organizer is notified and the terms of the sub-license are violated by the SIO or the copyright owner terminates the license to the Organizer.
  5. SIO is obligated to provide all necessary information, including information requested by the Organizer, and to ensure its accuracy and timeliness. SIO is also responsible for ensuring that the information provided does not include personal data or information that constitutes SIO's company secrets, the provision of which is not required for the implementation of the Program. Providing such data signifies that SIO consents to, or has the appropriate legal basis for, its transfer to the Organizer and its use by the Organizer in accordance with the Rules and these Terms and Conditions.
  6. SIO are required to not provide: i) confidential or other information constituting a business secret, ii) personal data, including personal data of third parties, iii) information that violates good morals, principles of social coexistence, laws or rights of third parties. The person acting on behalf of the organization is solely responsible for the extent of the information disclosed.
  7. The information provided by the SIO as part of the application will be publicly available on the Website. 
  8. The information referred to in point 5 above may be published by the Organize or Tech Company in other places, including other Internet portals, for the purpose of seeking additional channels of support for the SIO or implementation of support, to which the SIO agrees.
  9. SIO may notify the Organize that certain information specified in form constitutes confidential information in order to keep it off the Website. The Organizer does not guarantee but to the extent possible will not disclose the indicated information on the Website to the public.
  10. Organizer are authorized to use information about SIO (name of the entity and information about cooperation with indicated Tech Companies)  and SIO’s program collected during the Program, in particular during an impact measurement, for research, analytical, or publication purposes (in particular, to create reports, articles, or case studies) regarding the Organizer and our Programs, as well as, in particular, the impact of our activities on society.
  11. SIO, by joining the Program, agreed that the Organizer is entitled to share abovementioned data with the third parties in purpose indicated in item 3 above or contact you to inform or  invite you to participate in research organized by third parties, in order to conduct research and analytical activities regarding the Organizer and Organizer’s Programs.

  1. THE STAGES OF THE PROGRAM

  1. The information about SIO and their project will be included in a database publicly available on the Website.
  2. As a part of Program The Organizer is organizing a Matching Day during which the SIO's project will present their project to Tech Companies in order to obtain support for SIO in project development.
  3. The Organizer will make reasonable efforts to match the SIO and Tech Companies. This does not mean that the Organizer is obliged to find a match for each of the SIO - it might not be possible for objective reasons as it depends on the applications submitted and the activity, interests and specializations of Tech Companies.
  4. Matching requires the consent of both parties to cooperate (SIO and Tech Companies).
  5. Before formalizing the match, the SIO will receive a document explaining rules and guidelines on the cooperation. Signature is not required, but we ask them to read and agree that they read the document before we can mark the match.
  6. Once a Tech Company demonstrates interest in a potential match, the Organizer will arrange a meeting between the SIO and  the respective Tech Companies to determine if they will be matched or not.  
  7. If any of the entities is not satisfied with the match, they should communicate this to the Organizer as soon as possible who will, if possible, propose a new match. A delay in this respect may make it difficult for the Organizer to find a suitable partner. 
  8. If the entities are satisfied with the match, the SIO and Tech Companies agree to the conditions of this cooperation between them. The Organizer will provide them an agreement template which is recommended to be signed by the SIO and the Tech Company. The template requires customization by the parties. The Organizer is not responsible for the content of the form. Using the template is voluntary, the Parties can conclude an agreement on their own designs and terms. 
  9. If it turns out that the cooperation is not successful, the Organizer may try, if possible, to propose a solution to the situation - including proposing another partner.
  10. The Organizer is entitled to check the cooperation between the SIO and Tech Company, obtain information about its quality and scale, as well as about the impact on the SIO's activities.
  11. Program Completion Criteria. The SIO successfully completes the Program with the following core deliverables: SIO  have implemented SIO’s main, submitted project along with the dedicated Tech Company.

  1. RESPONSIBILITY OF THE ORGANIZER 

  1. The Organizer is not responsible for further cooperation between the SIO and Tech Companies after match and for the template. 
  2. To the extent permitted by law, the Organiser is not responsible for:
  1. the SIO’s actions which are inconsistent with these Terms and Conditions, including damage caused to third parties as a result of the participation in the Program in a manner contrary to these Terms and Conditions and the law,
  2. provision of third parties’ data by the SIO during the Program,
  3. consequences of providing false, incomplete or incorrect data, including data in the form,  by the SIO, 
  4. interruptions or difficulties in participation in the Program for other reasons attributable to the SIO, e.g., an overflowing mailbox, failure to register, or late registration.
  5. inability or difficulty in participation in the Program due to non-fulfillment of the technical requirements specified in these Terms and Conditions,
  6. for the correctness and accuracy of the guidance and information provided to the SIO as part of consultation and support during the Program;
  7. the usefulness and usability of the activities during the Program and the assimilation of this knowledge by the SIO with the Organizer making every effort to select specialists who provide a guarantee of high-quality content.

  1. PERSONAL DATA

  1. The Controller of SIO’s personal data shall be Tech To The Rescue Foundation, with its registered office, at Hoża 86/410, 00-682 Warsaw, Poland, entered into the Register of Associations, Other Social and Professional Organizations, Foundations, and Independent Public Health Care Facilities kept by the District Court for the Capital City of Warsaw, XIII Commercial Department of the National Court Register under KRS number 0000937683, NIP (Tax Identification Number) 5272981322, which may be contacted at the following e-mail addresses: personaldata@techtotherescue.org.
  2. All information regarding data processing is included in the Privacy Policy available on the Website.
  3. Contact details of SIO will be transmitted to Tech Companies only for purposes relating to the Program – performance of the pro publico bono help, or to third parties – in such instances as described in the Privacy Policy

  1. FINAL PROVISION

  1. The Organizer reserves the right to make any changes to these Terms, including changing the date of the Program or canceling the Program, for important reasons understanding as a state of emergency, natural disaster withdrawal, of all Partners and Sponsors or a change in the law making it impossible to organize the Program in the currently indicated manner. 
  2. The SIO will be notified of any change made to these Terms and Conditions within 14 days prior to the implementation of such a change. 
  3. In matters not covered by these Terms, the provisions of general terms and conditions available at: https://www.techtotherescue.org/terms-of-service shall apply.
  4. Except as provided by applicable law, the law of Poland will be the applicable law to recognize disputes and issues related to the Program.
